Emperador buys Whyte & Mackay for P31B

Emperador Inc., the liquor unit of business tycoon Andrew Tan, has completed its acquisition of Whyte & Mackay Group Ltd. and its subsidiaries for 430 million euros or P31 billion.

In a statement, Emperador said the takeover took effect on Friday. The acquisition was in line with the firm’s long-term strategy to improve operations and expand its global presence.

A major player in the spirits business for over 160 years, Whyte & Mackay is currently the fifth largest maker of Scotch whisky in the world. The company’s brands include the Dalmore Single Highland Malt Whisky, Jura Premium Single Malt, and Whyte & Mackay Blended Scotch Whisky.

The buyout gives Emperador access to Whyte & Mackay’s global distribution network in over 50 countries.

“Whisky is the second largest selling liquor category in the world. We look forward to developing a scotch whisky drinking culture in the Philippines,” said Emperador Chairman Andrew Tan.

“We are going to officially launch and sell in the Philippines the existing Whyte & Mackay products, especially The Dalmore, Jura and Whyte & Mackay Blended Scotch Whisky,” he added.

Whyte & Mackay’s five distilleries and a bottling plant in Scotland have a combined production capacity of 50 million liters annually.

The acquisition is set to boost Emperador’s exports to Europe and Africa starting in the first quarter next year.

Earlier, the firm’s international investment vehicle Emperador International Ltd. borrowed more than P15 billion from The Hongkong and Shanghai Banking Corp. Ltd. and JP Morgan Chase Bank N.A. to fund its global expansion projects.

Included in the international expansion efforts are the operations in the 500-hectare vineyard in Toledo, Spain by Emperador’s Spain-based subsidiary Grupo Emperador Spain, S.A.

The 500-hectare Toledo vineyard is part of Emperador’s over-a-thousand hectares of prime vineyard land in Spain acquired for P5.8 billion in August last year.

Emperador also sees expansion in the Vietnam market with the launching of Emperador Deluxe this year.

Emperador Distillers Inc. (EDI) and all its subsidiaries manufacture, distribute and serve as bottlers of brandy and other alcoholic brands such as Emperador, Generoso, The BaR, Emperador Deluxe, and Emperador Light.

EDI is wholly owned by Emperador Inc., which is under the Tan Group of companies via Alliance Global Group Inc.
